Corporate governance can be construed as the accountability of a company in the context of regulations aimed at determining that company´s objectives. In that respect, corporate governance is a process whereby a company demonstrates its capability of attracting and retaining its financial resources together with human resources in a way that does not harm either the interests of the public or private sector applications. In other words, corporate governance companies seek to attract capital and human resources, effective performance in order to meet its targets fulfilling legal obligations, social expectations,legislations, regulations and voluntary private sector applications. While the management expresses fulfillment in planning, organization and coordination, it also controls activities in order to achieve certain objectives. Corporate governance is also interested in how the benefits of interest groups are reflected in the organizational goals and how satisfied they will be when all these activities are performed in the end. The concept of corporate governance is like an umbrella that entails a wide range of management functions.
